The Descartes Systems Group Inc. is an established and rapidly growing software company in the Kitchener-Waterloo tech community seeking to add a Corporate Law Clerk/Legal Administrator to its growing legal team. This role will provide broad exposure to a variety of matters related to the management and operations of an international publicly traded technology company.
Under the Supervision of the Senior Corporate Counsel, Your Responsibilities Will Include:


Job Description
•    In conjunction with the Senior Corporate Counsel, maintain, update and file corporate documents and resolutions. 
•    In conjunction with the Senior Corporate Counsel, review and prepare standard documentation for various global business units (e.g. Finance, HR, Tax).
•    Proofread and prepare legal documentation, including extensive editing and quality assurance.
•    Facilitate the meeting of deadlines by keeping multiple agendas and providing timely reminders.
•    Provide some administrative support, including file management and document signing, preparing agendas, meeting minutes, spreadsheets, etc.
•    Assist with other projects and support other departments as required.


Experience Required
•    Legal diploma, Community College Secretarial Degree or completion of the Institute of Law Clerks of Ontario certification.
•    Strong experience as a law clerk/legal assistant working in the legal department of a large corporation or law firm.
•    Experience managing and preparing corporate records and regulatory filings (minutes, resolutions, certificates, filings, etc.) is an asset. 
•    Advanced computer skills and strong working knowledge of DocuSign and Microsoft Office.

•    Demonstrated time management, organization and prioritization skills, with the ability to handle multiple and changing priorities and projects, and meet deadlines in a dynamic tech environment.
•    Ability to work independently with minimal supervision and as part of a team.
•    Strong attention to detail required.
•    Strong work ethic and high level of professionalism.
•    Strong organizational and interpersonal skills.
•    Ability to adopt a flexible work schedule from time to time to accommodate international time zones and/or peak work periods.
•    Ability to work under pressure.
•    Highly organized, with a focus on time management.


This is a fully remote position with an option to work from our headquarters in Waterloo. Strong preference will be given to applicants in the Eastern Time Zone.
